GENERAL TERMS AND CONDITIONS

These General Terms and Conditions of Sale (the “Terms”) govern the sale of probiotic products through the website www.nellagut.ch (the “Website”) by Yunong, a Swiss limited liability company with its registered office at Avenue de Rumine 11, 1005 Lausanne, Switzerland (“Yunong”, “we”, “us” or “our”). These Terms should be read in conjunction with and in addition to the terms of use of our website (“Terms of Website Use”) and our privacy and cookies policy (“Privacy Policy”).

1. Scope and Applicability
   1.1 These Terms and govern the sale of probiotic products through the Website www.nellagut.ch or by any other means of communication accepted by us.
   1.2 These Terms apply in the version published on the Website at the time you place your order. We reserve the right to amend these Terms at any time.
   1.3 By placing an order, you confirm that you have read, understood and accepted these Terms without reservation.

2. Eligibility
   2.1 By placing an order for private purposes, you confirm that you are at least 18 years old and have full legal capacity to enter into a binding contract, or that you have obtained the required consent from your parent, guardian or legal representative.
   2.2 If you place an order on behalf of a company or other entity, you confirm that you have the authority to bind that entity.
   
   
3. Products Information
   3.1 All products offered are probiotic products intended to be marketed as food supplements, unless expressly stated otherwise.
   3.2 Product descriptions, images and specifications are provided for general information only and are not binding. Minor variations may occur.
   3.3 The information provided on the Website or in relation to the products is not intended to diagnose, treat or prevent any disease and does not replace professional medical advice.
   3.4 You are responsible for using the products in accordance with the instructions provided and for verifying their suitability for your personal use.
   3.5 We do not accept liability for misuse of the products or for any damage resulting from improper storage or use.
   
   
4. Orders and Contract Formation
   4.1 By placing an order, you submit a binding offer to purchase the selected products.
   4.2 We may send you an automatic acknowledgement of receipt. Such acknowledgement does not constitute acceptance of your order.
   4.3 The contract is concluded only upon dispatch of the products or express confirmation by us.
   4.4 We reserve the right to refuse, cancel or limit any order at our discretion, including where we suspect unlawful, fraudulent or abusive conduct.
   
   
5. Price
   5.1 All prices are indicated in Swiss francs (CHF) and include applicable Swiss VAT,unless otherwise stated.
   5.2 We reserve the right to modify prices at any time. The price applicable is the one confirmed at the time of order.
   5.3 Delivery costs and any additional charges are not included and will be indicated separately.
   5.4 Payment must be made in advance, prior to dispatch of the products.
   5.5 You may pay using the payment methods made available on the Website, including credit or debit card and any other method offered by us.
   5.6 All payments are subject to authorization by the relevant payment provider. If authorization is refused, we reserve the right to cancel your order.
   5.7 Where payment is processed by a third-party provider, such provider’s terms and conditions may apply in addition to these Terms. We are not responsible for the services, acts or omissions of such third parties.
   5.8 The products remain our property until full payment has been received.
   5.9 Any person placing an order for private purposes confirms that they are at least 18 years old and have full legal capacity to enter into a contract.
   
   
6. Delivery and Shipping
   6.1 We will deliver the products to the address you provide when placing your order.
   6.2 Delivery times are indicative only and are not guaranteed.
   6.3 We are not liable for delays or failure to deliver where such delay or failure is caused by
   a third party or by circumstances beyond our reasonable control.
   6.4 Risk in the products passes to you upon delivery.
   6.5 If products are returned to us due to incorrect delivery details or failure to collect, we reserve the right to deduct any costs incurred from any refund.
   
7. Inspection and Acceptance
   7.1 You must inspect the products immediately upon receipt.
   7.2 You will be deemed to have accepted the products unless you notify us of a defect or return the products in accordance with these Terms.
   7.3 Claims for missing, incorrect or damaged products must be notified to us without undue delay.
   
   
8. Returns
   8.1 You may request a return within 14 days of receipt of the products, subject to the conditions set out below.
   8.2 To request a return, you must contact us and follow the return instructions provided.
   8.3 Products may only be returned if they are unopened, unused, undamaged and in their original packaging.
   8.4 For hygiene and safety reasons, opened or partially used products cannot be returned.
   8.5 Return shipping costs are borne by you unless otherwise agreed.
   8.6 We reserve the right to refuse returns that do not comply with these Terms.
   
   
9. Defects
   9.1 You must notify us of any defect without undue delay after discovery.
   9.2 Where a defect is confirmed, we may, at our discretion, replace the product or refund the purchase price.
   9.3 We do not accept liability for defects resulting from improper use, storage, or handling of the products.
   
   
10. Liability
    10.1 To the fullest extent permitted by Swiss law, we exclude all liability for indirect, incidental or consequential damages.
    10.2 We are not liable for any losses or damages of any kind (whether direct, indirect or consequential) arising from or in connection with the products sold by us and/or their delivery, including any loss of profit. Our liability is limited to the purchase price of the product concerned.
    10.3 Any further claims for compensation are excluded.
    
    
11. Data protection
    11.1 We process personal data in accordance with our Privacy Policy available at www.nellagut.ch.
    11.2 By placing an order, you acknowledge that your data may be processed for order handling, payment, delivery and customer service purposes.
    11.3 Where third-party providers are involved, your data may be processed in accordance with their own policies.
    
    
12. Amendment
    12.1 We reserve the right to amend these Terms at any time.
    12.2 The applicable version is the version published on the Website at the time you place your order.
    
    
13. Governing law and jurisdiction
    13.1 These Terms are governed by Swiss law, excluding conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods.
    13.2 Subject to any mandatory provisions of law, the courts of Lausanne, Canton of Vaud, Switzerland, shall have exclusive jurisdiction.
